01 Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and BouncePro Inc. ("BouncePro," "we," "us," or "our") governing your access to and use of the BouncePro platform, website, and related services (collectively, the "Service").
By creating an account, accessing, or using the Service, you confirm that you are at least 18 years old, have the legal capacity to enter into this agreement, and agree to comply with these Terms and all applicable laws.
02 Description of Service
BouncePro provides a cloud-based email marketing platform that allows users to create, manage, send, and analyze email campaigns. The Service includes:
- Email campaign creation and management tools
- Subscriber list management and segmentation
- Email automation and drip campaign functionality
- Real-time analytics and reporting dashboards
- Deliverability tools including domain authentication (DKIM, SPF, DMARC)
- Compliance tools for CASL and CAN-SPAM regulations
- API access for integration with third-party platforms
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.
03 Account Registration
To use BouncePro, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Keep your password secure and confidential
- Notify us immediately of any unauthorized use of your account
- Accept responsibility for all activity that occurs under your account
You may not create accounts using automated means or under false pretenses. One person or legal entity may not maintain more than one free account.
04 Acceptable Use
You may use BouncePro only for lawful purposes and in accordance with these Terms. You agree to use the Service in a manner that:
- Complies with all applicable local, provincial, national, and international laws
- Respects the rights and privacy of your email recipients
- Adheres to CASL, CAN-SPAM, and other applicable anti-spam regulations
- Maintains appropriate consent records for all email recipients
- Honors unsubscribe requests promptly and within legally required timeframes
- Does not harm or degrade the reputation of our sending infrastructure
05 Prohibited Activities
The following activities are strictly prohibited and may result in immediate account suspension or termination:
- Sending unsolicited bulk email (spam) or emails to purchased, rented, or harvested lists
- Sending emails that contain false, misleading, or deceptive subject lines or sender information
- Distributing malware, viruses, phishing content, or malicious code
- Promoting illegal products, services, or activities
- Sending content that is defamatory, obscene, hateful, or harassing
- Attempting to circumvent or abuse our spam filters or deliverability systems
- Reverse engineering, decompiling, or attempting to extract source code from the platform
- Using the Service to infringe any third party's intellectual property rights
- Reselling or sublicensing access to the Service without our written permission
06 Subscription & Billing
Plans & Pricing
BouncePro offers both free and paid subscription plans. Paid plan features, pricing, and email send limits are described on our pricing page and may be updated with 30 days' notice.
Billing
- Paid subscriptions are billed in advance on a monthly or annual basis
- All fees are in Canadian dollars (CAD) unless otherwise specified
- Payments are processed securely through Stripe
- You authorize us to charge your payment method on a recurring basis
Refunds & Cancellations
- You may cancel your subscription at any time from your account settings
- Cancellations take effect at the end of the current billing period
- We do not provide refunds for partial billing periods except where required by law
- Unused email credits do not carry over between billing periods
07 Intellectual Property
The BouncePro platform, including its software, design, logos, trademarks, and content, is owned by BouncePro Inc. and protected by Canadian and international intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes in accordance with these Terms. You may not copy, modify, distribute, sell, or lease any part of the Service without our written permission.
08 Your Content
You retain full ownership of all content you create, upload, or transmit through BouncePro, including your email campaigns, subscriber lists, and creative assets ("Your Content").
By using the Service, you grant BouncePro a limited license to store, process, and transmit Your Content solely as necessary to provide the Service. We will never use Your Content for advertising or share it with third parties for their own purposes.
You are solely responsible for Your Content and represent that you have all rights necessary to upload and distribute it through our platform.
09 Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or completely secure. We are not responsible for the actions of third-party email providers or ISPs that may affect deliverability.
10 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BOUNCEPRO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.
OUR TOTAL CUMULATIVE LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS ($100 CAD).
11 Indemnification
You agree to defend, indemnify, and hold harmless BouncePro Inc., its officers, directors, employees, and agents from any claims, damages, liabilities, costs, or expenses (including reasonable legal fees) arising from:
- Your use of the Service in violation of these Terms
- Your Content or your email campaigns
- Your violation of any applicable law or third-party rights
- Any spam or anti-spam law violations resulting from your sending practices
12 Termination
Either party may terminate this agreement at any time. We reserve the right to suspend or terminate your account immediately and without notice if:
- You violate these Terms or our Acceptable Use Policy
- Your account generates excessive spam complaints or bounces that harm our infrastructure
- We are required to do so by law or court order
- Your account has been inactive for more than 24 consecutive months
Upon termination, your right to access the Service ceases immediately. We will provide you with 30 days to export your data unless termination is due to a Terms violation.
13 Governing Law
These Terms are governed by and construed in accordance with the laws of the Province of Alberta, Canada, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Alberta, Canada.
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
